1. Introduction and Acceptance

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client”, “User”, or “you”) and Teleopedia Communications Pvt. Ltd. (“Teleopedia”, “we”, “our”, or “us”), a company incorporated under the laws of India, with its registered office at P-5, 2nd Floor, Ocean Plaza, Unit No. 211, Sector 18, Noida, Uttar Pradesh 201301.

By registering for an account, accessing our platform, or using any of our services — including SMS, Voice, WhatsApp for Business, Email, RCS, SMPP messaging, Cyber Security, Cloud Solutions, Networking & Infrastructure, and Data Management — you agree to be bound by these Terms. If you do not agree, please do not use our services.

 

2. Definitions

“Services”: All products and services offered by Teleopedia, including but not limited to Bulk SMS, Voice Broadcasting, WhatsApp Business messaging, Email marketing, RCS messaging, SMPP connectivity, and digital solutions.

“Platform”: Teleopedia’s web-based dashboard, APIs, and related software tools accessible at https://sms.teleopedia.com and associated subdomains.

“Account”: Your registered user account on the Platform.

“Content”: Any messages, text, media, or data that you transmit or cause to be transmitted through our Services.

“DLT”: Distributed Ledger Technology platform mandated by the Telecom Regulatory Authority of India (TRAI) for commercial communications.

 

3. Account Registration

To access our Services, you must create an account. You agree to:

  • Provide accurate, complete, and current registration information
  • Keep your account credentials confidential and not share them with third parties
  • Notify us immediately at info@teleopedia.com upon becoming aware of any unauthorised use of your account
  • Accept responsibility for all activities conducted under your account

Teleopedia reserves the right to suspend or terminate accounts that contain false or misleading information.

 

4. Permitted Use of Services

4.1 Acceptable Use

You agree to use our Services solely for lawful business communication purposes, including but not limited to:

  • Transactional alerts and notifications to your customers
  • Promotional campaigns to opted-in recipients
  • Customer engagement across SMS, WhatsApp, Email, Voice, and RCS channels
  • Authentication and OTP messages

 

4.2 Prohibited Use

You must NOT use our Services to:

  • Send unsolicited messages (spam) or messages to individuals who have not opted in
  • Transmit unlawful, defamatory, obscene, fraudulent, harassing, or harmful content
  • Impersonate any person, brand, or entity or misrepresent your identity
  • Engage in phishing, smishing, or any form of electronic fraud
  • Send content promoting illegal activities, violence, adult content (without appropriate authorisation), or content that violates TRAI regulations
  • Circumvent, disable, or interfere with the security features of our Platform
  • Use automated scraping tools or bots to access the Platform without our express written permission
  • Resell our Services to third parties without entering into a separate Reseller Agreement with Teleopedia

 

5. DLT Compliance (TRAI Regulations)

All commercial communications sent through our platform must comply with the Telecom Commercial Communication Customer Preference Regulations (TCCCPR) issued by TRAI. You acknowledge and agree to:

  • Register your entity, headers (Sender IDs), and message templates on the applicable DLT platform prior to sending messages
  • Ensure all message templates are pre-approved on DLT before submission
  • Maintain proper consent records for promotional messaging
  • Comply with the National Do Not Call (NDNC) registry requirements

Teleopedia shall not be liable for message delivery failures or regulatory penalties arising from your failure to comply with DLT requirements.

 

6. Payment Terms

6.1 Pricing

Service charges are as per the pricing plan agreed upon at the time of account registration or as communicated in writing. Teleopedia reserves the right to revise pricing with 30 days’ written notice to existing clients.

6.2 Billing

Services are typically offered on a prepaid basis. Credits purchased are non-refundable unless otherwise agreed in writing. Unused credits may expire as specified in your service plan.

6.3 Taxes

All charges are exclusive of applicable taxes, including GST. You are responsible for paying all taxes applicable to your use of the Services.

6.4 Late Payment

Accounts with overdue balances may be suspended until payment is received. Teleopedia reserves the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

 

7. Intellectual Property

All intellectual property rights in the Platform, software, branding, logos, documentation, and related materials are owned by or licensed to Teleopedia. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for the purposes outlined in these Terms.

You retain ownership of your Content. By submitting Content through our Platform, you grant Teleopedia a limited licence to process, transmit, and store such Content solely to provide the Services.

 

8. Confidentiality

Each party agrees to keep the other’s confidential information (including pricing, technical details, and client data) strictly confidential and not to disclose it to any third party without prior written consent, except as required by law. This obligation survives termination of these Terms.

 

9. Data Protection

You acknowledge that in using our messaging Services, you may process personal data of your customers. In doing so:

  • You are the data controller and are responsible for ensuring you have a lawful basis to process and transmit such data
  • Teleopedia acts as a data processor on your behalf for the purpose of delivering messages
  • You agree to comply with all applicable data protection laws, including the Information Technology (Amendment) Act, 2008 and associated rules
  • Our collection and use of your own data is governed by our Privacy Policy

 

10. Service Levels and Availability

Teleopedia endeavours to maintain high platform availability (targeting 99.5% uptime on a monthly basis, excluding scheduled maintenance). However, we do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible.

Teleopedia provides 24×7 customer support and will make reasonable efforts to resolve service disruptions promptly.

 

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Teleopedia’s total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the fees paid by you to Teleopedia in the three (3) months immediately preceding the event giving rise to the claim
  • Teleopedia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or loss of business opportunity
  • Teleopedia shall not be liable for message delivery failures caused by network outages, telecom operator issues, DLT non-compliance, or Force Majeure events

 

12. Indemnification

You agree to indemnify, defend, and hold harmless Teleopedia, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your Content or messaging campaigns
  • Your violation of applicable laws or third-party rights
  • Your failure to comply with TRAI or DLT regulations

 

13. Term and Termination

13.1 Term

These Terms commence on the date you register for an account and continue until terminated by either party.

13.2 Termination by You

You may terminate your account at any time by providing written notice to info@teleopedia.com. Termination does not entitle you to a refund of unused prepaid credits unless otherwise agreed.

13.3 Termination by Teleopedia

Teleopedia may suspend or terminate your account immediately and without notice if you:

  • Breach any provision of these Terms
  • Engage in prohibited use as described in Section 4.2
  • Fail to make timely payment
  • Use our Services in a manner that poses a risk to Teleopedia, its clients, or third parties

13.4 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including confidentiality, indemnification, and limitation of liability) shall continue to apply.

 

14. Force Majeure

Teleopedia shall not be in breach of these Terms or liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, government action, natural disasters, war, civil unrest, strikes, power outages, or failures of internet or telecommunications infrastructure.

 

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.

 

16. Amendments

Teleopedia reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Your continued use of our Services after such changes constitutes your acceptance. For material changes, we will provide at least 14 days’ advance notice via email.

 

17. Entire Agreement

These Terms, together with our Privacy Policy and any additional service agreements or order forms executed between the parties, constitute the entire agreement between you and Teleopedia with respect to the subject matter herein and supersede all prior agreements, representations, and understandings.

 

18. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The failure of either party to enforce any right or provision shall not constitute a waiver of that right or provision.
